1. Agreement to Terms

4. Software Development Services

The following terms apply to all software development, AI engineering, and related professional services provided by Analytico Tech LLC to clients.

4.1 Service Agreements

All professional services are governed by a separate written service agreement or statement of work ("SOW") signed by both parties. These Terms provide the baseline framework; specific project terms, scope, timeline, pricing, and deliverables are defined in the individual service agreement.

4.2 Intellectual Property

Upon full payment of all agreed fees, Analytico Tech LLC assigns to the client all intellectual property rights in the custom code, software, and deliverables created specifically for that client under the engagement. This includes:

• Custom source code written for the client's project
• Application architecture and technical documentation produced as deliverables
• Database schemas and data models created specifically for the engagement

The following are not included in IP assignment and remain the property of Analytico Tech LLC or their respective owners:

• Our internal tools, frameworks, methodologies, and development processes
• Open-source software incorporated into the project (governed by their respective licences)
• Third-party libraries, APIs, or services integrated into the solution
• Pre-existing code, templates, or components created prior to the engagement

4.3 Confidentiality

We treat all client project information as confidential. We sign Non-Disclosure Agreements (NDAs) with clients before detailed project discussions begin. We will not disclose your proprietary business information, technical specifications, or unreleased product details to any third party without your written consent, unless required by law.

4.4 Payment Terms

Payment terms, milestones, and rates are defined in individual service agreements. General terms:

• Invoices are due within the period specified in the service agreement (typically 14–30 days)
• Late payments may incur interest as specified in the service agreement
• We reserve the right to pause work on projects with overdue invoices
• All fees are exclusive of applicable taxes unless explicitly stated otherwise

4.5 Warranties and Representations

We warrant that:

• Services will be performed with reasonable skill and care by qualified professionals
• Deliverables will materially conform to the agreed specifications in the service agreement
• We have the right to provide the services and assign the relevant IP as described

We do not warrant that software will be entirely free of defects or that it will meet requirements not explicitly stated in the service agreement.

5. Website Content and Accuracy

The content on analyticotech.com — including case studies, service descriptions, technology references, and company information — is provided for informational purposes. While we make reasonable efforts to keep it accurate and current, we do not warrant that all information is complete, accurate, or up-to-date at all times.

Case studies describe work completed under NDA. Client names and specific metrics are used with permission or presented at a level of detail that protects confidential information. They represent real projects but may not include all technical details.

Technology logos, partner badges, and certification references reflect our capabilities and partnerships at the time of publishing and are updated periodically.

If informal resolution is not possible, disputes shall be resolved through binding arbitration or, where arbitration is not permitted by applicable law, through the courts of the State of Wyoming.

For service agreement disputes, the dispute resolution mechanism specified in the service agreement shall apply.

12. Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Website after such changes constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. For existing service agreements, changes to these Terms do not retroactively affect the agreed terms of those engagements.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.

14. Entire Agreement

For website visitors, these Terms and our Privacy Policy constitute the entire agreement between you and Analytico Tech LLC regarding your use of the Website.

For clients engaging our professional services, these Terms are supplemented by — and where in conflict, superseded by — the signed service agreement or statement of work for the relevant engagement.
